Terms of Use

1. About these Terms

These Terms & Conditions (“Terms”) govern your access to and use of Crowd Scout, including our mobile application, website and related services (together, the “Platform”). By creating an account or using the Platform, you agree to these Terms and the policies incorporated into them, including our Privacy Policy, Community Guidelines and Safeguarding Policy.

Crowd Scout is operated by Crowd Scout International Ltd, a company incorporated in England and Wales (“Crowd Scout”, “we”, “us” or “our”). If you do not agree to these Terms, you must not create or use an account.

2. What Crowd Scout does

Crowd Scout is a sports talent-discovery platform. It enables athletes to showcase sporting ability through short-form video, eligible users to rate or react to sporting content, and verified scouts to discover athletes using relevant sporting and profile information.

Crowd Scout provides infrastructure for visibility and discovery. We are not a sports agent, employment agency, governing body, club, academy, coach or talent representative. Use of Crowd Scout does not guarantee discovery, scout contact, a trial, selection, scholarship, employment, contract, representation or a professional sporting career.

3. Who may use Crowd Scout

Adult users must be legally capable of entering into these Terms. Children and young people may use Crowd Scout only through the age-appropriate account and guardian arrangements provided by the Platform. Where parent or guardian approval is required, that adult must have authority to provide it. Scout accounts are restricted to adults aged 18 or over who complete the applicable verification process. Users must not misrepresent age, identity, sporting role, club affiliation or authority to act for another person.

4. Children, parents and guardians

Safeguarding young athletes is a core condition of the Platform. Where an athlete is under 18, Crowd Scout may require parent or guardian approval and apply additional protections, restrictions or routing of communications.

Where guardian involvement is required, the parent or guardian agrees to support safe use, keep relevant information accurate and notify Crowd Scout promptly of safeguarding concerns. A young person must never be encouraged to bypass a parent, guardian or safeguarding control.

5. Accounts and account security

Users must provide accurate information, protect login credentials, notify us of suspected compromise, use the appropriate account type and refrain from creating false, deceptive or impersonating accounts. We may require additional verification where necessary to protect users or Platform integrity.

6. Athlete profiles and sporting information

Athletes may provide sporting information such as sport, position or discipline, age or age band, gender where applicable, location information, preferred foot and other sport-specific attributes. Information must be truthful and must not intentionally mislead scouts or other users.

7. User Content, Ownership and Commercial Rights

7.1 Ownership. You retain ownership of the original User Content and intellectual property rights that you upload to Crowd Scout, including photographs, videos and other original sporting content, subject to any third-party rights contained within that content. Uploading User Content does not transfer ownership to Crowd Scout.

7.2 Authority to upload. You must have all rights, permissions and consents needed to upload User Content, including appropriate authority relating to any other identifiable person appearing in it. Parents or guardians uploading for a young athlete must have authority to do so.

7.3 Platform Licence. By uploading User Content, you grant Crowd Scout a non-exclusive, worldwide, royalty-free licence to host, store, reproduce, process, format, display, transmit and make that content available as reasonably necessary to operate, secure, maintain, develop and improve the Platform. This licence does not transfer ownership to Crowd Scout.

7.4 External promotional use. The Platform Licence is not unlimited permission to use an athlete's image, likeness or User Content in external paid advertising or unrelated commercial campaigns. Where separate consent, permission or another lawful basis is required, Crowd Scout will obtain it. Additional safeguards apply where the athlete is a child.

7.5 Future digital assets. Crowd Scout may introduce functionality enabling eligible athletes or authorised representatives to create, mint, licence, sell, transfer or otherwise commercialise digital assets associated with User Content, sporting achievements, profile or identity, including non-fungible tokens (NFTs), digital collectibles, tokenised assets or successor technologies. Such features will be subject to applicable law and additional terms presented before participation.

7.6 Underlying rights remain with the rightsholder. Creating, minting, selling or transferring a digital asset through Crowd Scout does not itself transfer ownership of the underlying copyright, image rights, name, likeness, User Content or other intellectual property unless applicable transaction terms expressly state otherwise and the rightsholder validly agrees.

7.7 Crowd Scout-facilitated primary transactions — 90/10. Where Crowd Scout creates or facilitates an eligible primary commercial transaction through a Crowd Scout digital-asset or related commercial feature, the default economic allocation will be 90% of the applicable transaction proceeds to the athlete or relevant rightsholder and 10% to Crowd Scout, before separately disclosed taxes, payment-processing charges, network or blockchain fees, refunds or other mandatory transaction costs. Applicable amounts will be disclosed before completion.

7.8 Secondary transactions and royalties. Where Crowd Scout supports a secondary market or subsequent transfer of an eligible digital asset, Crowd Scout may structure the asset or transaction terms so the athlete or relevant rightsholder and Crowd Scout participate economically in qualifying secondary transactions. Unless different terms are clearly disclosed and agreed for the relevant product, Crowd Scout's share of any creator/platform royalty or other amount generated for the athlete/rightsholder and Crowd Scout from such a qualifying secondary transaction will follow the same 90% athlete/rightsholder and 10% Crowd Scout allocation, subject to applicable law and technical capability.

7.9 No claim over unrelated earnings. The 90/10 arrangement applies only to transactions Crowd Scout creates or facilitates through relevant Crowd Scout commercial or digital-asset functionality. It does not give Crowd Scout ownership or an automatic entitlement to an athlete's salary, prize money, transfer value, sponsorship, endorsement, image-rights deal or other commercial opportunity arranged independently of Crowd Scout unless separately agreed in writing.

7.10 Additional terms and regulatory safeguards. Crowd Scout may require eligibility checks, guardian involvement, identity verification, transaction limits, disclosures or other safeguards before enabling digital-asset or commercial functionality. We may delay, modify or decline such functionality where required by law, regulation, safeguarding considerations or Platform risk.

7.11 Deletion and technical retention. If User Content is deleted, Crowd Scout will cease ordinary display subject to reasonable backup periods and lawful preservation requirements. A digital asset already lawfully acquired by another person may not be technically capable of erasure from an external distributed ledger; if such functionality is introduced, the applicable additional terms and Privacy Policy will explain how this is handled.

8. Ratings, reactions and discovery signals

Crowd Scout may allow eligible users to rate sporting performances and provide limited reactions. These inputs may contribute to discovery signals, rankings, league tables or other ways of organising and surfacing content. Ratings and reactions are subjective community opinions, not professional scouting assessments or guarantees of sporting ability. Rating manipulation, fake accounts, purchased engagement and other interference are prohibited.

9. Verified Scouts

Scout verification is intended to increase trust in who uses scouting functionality. Verified Scouts must be 18 or over, satisfy Crowd Scout's verification requirements and comply with the Scout Verification Standard and Scout Code of Conduct. Verification reflects checks completed at the relevant time; it is not a guarantee or endorsement of future conduct. Crowd Scout may re-check, suspend or revoke verification.

10. Contact involving young athletes

Crowd Scout does not provide a general-purpose in-app messaging service. Where a verified scout expresses legitimate interest in a young athlete, the contact pathway must follow Crowd Scout's safeguarding workflow, including routing through the parent or guardian where required. Attempts to bypass guardians, obtain private contact details from children, groom, coerce or exploit a young person are prohibited and may be referred to relevant authorities.

11. Community standards and prohibited conduct

Users must not engage in bullying, harassment, threats, hate speech, discrimination, grooming, exploitation, fraud, impersonation, privacy violations, unlawful or infringing uploads, spam, malicious automation, scraping, security attacks or use Crowd Scout to facilitate criminal activity.

12. Reporting safety concerns

Users and affected persons can use Crowd Scout's reporting mechanisms to report content or accounts believed to breach these Terms, safeguarding requirements or the law. Where there is immediate danger, users should contact the appropriate emergency service or safeguarding authority as well as Crowd Scout.

13. Moderation, investigations and enforcement

Crowd Scout may investigate reports and Platform activity and take proportionate action including warnings, feature restrictions, content removal, suspension, revocation of scout verification or permanent termination. Urgent action may be taken without prior notice where reasonably necessary to protect a child or another person, preserve evidence, prevent illegal activity or comply with law.

14. Complaints, reviews and contractual rights

Crowd Scout provides mechanisms to report relevant content and users and to raise complaints about moderation or account restrictions. Where appropriate and lawful, information about significant enforcement decisions and available review routes will be provided. Nothing in these Terms removes statutory or contractual rights provided by law.

15. Intellectual property

Except for User Content and third-party material, the Crowd Scout Platform, name, branding, Phoenix marks, software, interfaces, designs, databases and proprietary materials are owned by or licensed to Crowd Scout. No ownership rights are transferred to users.

16. Privacy and personal data

Our Privacy Policy explains what personal data we collect, why we use it, our lawful bases, retention, sharing and individual rights. Additional protections apply to children's personal data.

17. Availability and changes to the Platform

We aim to provide a reliable service but cannot promise uninterrupted or error-free availability. We may maintain, update, secure, modify or discontinue features where reasonably necessary and will provide appropriate notice where required by law.

18. Account deletion and termination

Users may initiate or request account deletion using available functionality. Certain information may be retained where necessary for legal compliance, safeguarding, security, fraud prevention or dispute resolution. Crowd Scout may suspend or terminate accounts in accordance with these Terms.

19. Third-party services

The Platform may depend on third-party infrastructure or services. Independent third-party services may operate under their own terms and privacy practices.

20. Our responsibility to you

Nothing in these Terms excludes liability where unlawful to do so, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or mandatory consumer rights. Crowd Scout does not guarantee sporting opportunities or the accuracy of community ratings, rankings or discovery signals.

21. Changes to these Terms

We may update these Terms to reflect changes in law, regulation, safeguarding practice, technology or the Platform. Material changes will receive reasonable notice or renewed agreement where required.

22. Governing law and consumer rights

These Terms are governed by the law of England and Wales. Consumers resident elsewhere may also benefit from mandatory protections in their country of residence.

23. General

If any provision is unlawful or unenforceable, the remainder continues to apply. Delay in enforcing a right does not waive it. Crowd Scout may transfer its rights and obligations as part of a genuine corporate reorganisation, financing, merger or sale provided mandatory consumer protections are not reduced.

24. Contact and complaints

Questions, complaints and safeguarding or privacy concerns should be submitted through the contact and support channels published by Crowd Scout. Privacy requests should follow the process in the Privacy Policy.
